1. Acceptance of Terms

Welcome to PILLOWBANKS, operated by BAR WAGON LLC ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the PILLOWBANKS platform and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Age Requirement

You must be 18 years of age or older to use this Service.

By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. We reserve the right to request proof of age and terminate accounts of users who are underage.

3. Description of Service

PILLOWBANKS is an escrow platform that facilitates secure transactions between parties (buyers and sellers). Our Service includes:

• Interactive bubble-based deal visualization
• Email-based authentication via Magic.link
• Escrow management with multi-party approval workflows
• Transaction tracking and balance management
• Email notifications for deal milestones

4. Platform Facilitator Role

We do not:

• Mediate disputes between buyers and sellers
• Guarantee the quality, safety, or legality of deals
• Verify the identity or credentials of users beyond email authentication
• Take custody of funds on behalf of users
• Provide legal, financial, or investment advice

All transactions and agreements are solely between users. You are responsible for conducting your own due diligence on counterparties and deal terms.

5. Risk Disclaimer

• Blockchain Technology Risks: Transactions may be irreversible. Once funds are transferred, they cannot be recovered without counterparty cooperation.
• Smart Contract Vulnerabilities: While we implement security best practices, no system is completely immune to bugs, exploits, or technical failures.
• Loss of Private Keys: If you lose access to your wallet or approval keys, you may permanently lose access to your funds or deals.
• Counterparty Risk: The other party in your transaction may fail to perform their obligations, commit fraud, or disappear.
• Technical Failures: System outages, bugs, or network issues may delay or prevent transactions.
• Regulatory Risk: Laws governing blockchain and escrow services may change, affecting your ability to use the Service.

BY USING THIS SERVICE, YOU ACKNOWLEDGE AND ACCEPT THESE RISKS. YOU AGREE THAT YOU WILL NOT HOLD BAR WAGON LLC LIABLE FOR ANY LOSSES RESULTING FROM THESE RISKS.

6. User Responsibilities

You agree to:

• Provide accurate and truthful information
• Maintain the security of your account and approval keys
• Comply with all applicable laws and regulations
• Not use the Service for illegal, fraudulent, or harmful purposes
• Not attempt to manipulate, hack, or disrupt the Service
• Not impersonate others or create fake accounts
• Conduct your own due diligence on all transactions

7. Prohibited Uses

You may NOT use the Service to:

• Engage in money laundering or terrorist financing
• Trade illegal goods or services
• Violate intellectual property rights
• Harass, threaten, or defraud other users
• Distribute malware or engage in hacking
• Circumvent rate limits or security measures
• Use automated systems (bots) without authorization

8. Third-Party Services

Your use of PILLOWBANKS may involve third-party services, including but not limited to:

• Magic.link: Authentication and wallet services. Subject to Magic.link Terms of Service
• MoonPay: Payment processing services. Subject to MoonPay Terms of Use

You acknowledge that your use of these services is also governed by their respective terms and privacy policies. We are not responsible for third-party services or their actions.

9. Fees and Payments

Currently, PILLOWBANKS operates with test balances for demonstration purposes. If and when real-money transactions are enabled, we reserve the right to charge fees for platform usage. Any such fees will be disclosed clearly before you complete a transaction.

10. Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Failure to meet age requirements
• Abuse of the platform or other users
• Any reason we deem necessary to protect the Service or other users

You may delete your account at any time by contacting helpdesk@pillowbanks.io

You agree to indemnify, defend, and hold harmless BAR WAGON LLC and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your transactions with other users

13. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Massachusetts, USA, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in Massachusetts. You waive your right to participate in class action lawsuits.

Notwithstanding the above, either party may seek injunctive relief in a court of competent jurisdiction in Massachusetts.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BAR WAGON LLC regarding the Service.
